Terms of Service
These Terms of Service govern all document shredding, media destruction, and related services provided by Neighborhood Parcel LLC operating as New Hampshire Document Shredding. By scheduling or receiving any service, you agree to be bound by these terms.
This Terms of Service Agreement (“Agreement”) is entered into between Neighborhood Parcel LLC, a Massachusetts limited liability company doing business as New Hampshire Document Shredding (“Company,” “we,” or “us”), located at 1215 Main St, Unit 115, Tewksbury, MA 01876, and the individual or entity scheduling or receiving shredding or destruction services (“Client” or “you”). By scheduling a service, dropping off material, or accessing our website, you accept these terms in full.
§ 1 Scope of Services & Delivery
Neighborhood Parcel LLC will perform document shredding, media destruction, and related services (“Services”) at a location and on a schedule mutually agreed upon by both parties, in accordance with the terms of this Agreement. The scope of each engagement — including service type, volume, frequency, and applicable fees — will be confirmed before any service is conducted. Confirmation may occur via email, signed quote, phone, or our online booking portal.
1.1 Service Execution
The Company will securely collect all confidential material presented by the Client. Material will be transported in locked, tamper-evident security containers and vehicles to the Company's facility, where it will be destroyed in compliance with applicable federal and Massachusetts state regulations. The Company will issue a notarized Certificate of Destruction upon completion of every service, regardless of volume or service type.
A notarized Certificate of Destruction is provided with every service at no additional charge. This document constitutes legal proof of compliant disposal and satisfies HIPAA, FACTA, SOX, and Massachusetts Privacy Act audit requirements.
1.2 HIPAA-Compliant Medical Shredding
For medical records, Protected Health Information (PHI), and other healthcare-related material, the Company maintains full HIPAA compliance throughout the chain of custody — from collection through destruction. All employees handling PHI are background-checked, bound by confidentiality agreements, and trained on HIPAA-compliant handling procedures. The Certificate of Destruction issued for medical shredding jobs satisfies HIPAA documentation requirements.
1.3 Right to Refuse Service
The Company reserves the right to refuse service or revoke facility access at its sole discretion, including but not limited to circumstances where the Client's conduct violates these Terms, presents a safety risk, or involves material described in Section 2.4 below.
§ 2 Client Obligations
2.1 Security Containers
Where the Company provides locking security containers (“Containers”) for the Client's use between scheduled service intervals, the following terms apply:
- Containers shall be used exclusively for the collection of confidential documents intended for shredding.
- Containers shall not be removed from the Client's designated premises, repurposed, or used for any other purpose.
- Containers remain the property of Neighborhood Parcel LLC at all times. The Client does not acquire any ownership or security interest in the Containers.
- If a Container is lost, stolen, damaged, or destroyed while in the Client's custody, the Client shall pay a replacement fee of $100.00 per unit.
- The Company assumes responsibility for damage resulting solely from its own handling of the Containers during collection and transport.
2.2 Scheduling Notice
The Client agrees to adhere to the mutually established service schedule. If the Client needs to reschedule a service, a minimum of 24 hours advance notice is required, provided by phone, email, or fax. Failure to provide 24 hours advance notice will result in a service charge equivalent to the regular service fee to cover expenses incurred by the Company in responding to the scheduled appointment. For one-time purge services, a late cancellation fee of $75.00 applies.
2.3 High-Value Instruments
The Client agrees to notify the Company in writing and in advance if any material delivered for destruction includes negotiable instruments — such as uncanceled checks, bearer bonds, or coupons — with a combined value exceeding $5,000. Upon such notification, the Company will work with the Client to implement additional security protocols appropriate to the risk. Failure to provide this notice constitutes acceptance by the Client of sole responsibility for any loss associated with such instruments.
2.4 Prohibited Materials
The Client shall not deliver to the Company any material classified as toxic, hazardous, bio-hazardous, radioactive, or otherwise regulated under any federal, Massachusetts, or New Hampshire law or regulation relating to hazardous substances or environmental protection. Prohibited materials include, without limitation:
- Biological waste or materials presenting an infection risk
- Chemically contaminated paper, film, or media
- Radioactive materials in any form
- Electronic waste containing unencapsulated lead, mercury, or cadmium beyond standard consumer electronics
In the event of an accidental or negligent transfer of hazardous material, the Client agrees to: (a) immediately assume legal custody of such material at Client's sole expense; (b) arrange for its lawful disposal; and (c) fully indemnify the Company for any property damage, personal injury, regulatory fines, or remediation costs resulting from such transfer.
2.5 Claims Deadline
The Client must present any claim arising from a service in writing to the Company within three (3) months of the date of the event on which the claim is based. Claims not submitted within this period are waived. All claims must be directed to: Neighborhood Parcel LLC, 1215 Main St, Unit 115, Tewksbury, MA 01876.
§ 3 Additional Work & Fees
3.1 Additional Work Authorization
From time to time, the Client may request that the Company perform services beyond the scope described in the Agreement (“Additional Work”). The Company may agree to perform such Additional Work, provided that:
- The Client authorizes the Additional Work in writing before it is performed.
- Both parties mutually agree upon the compensation for the Additional Work prior to execution.
- The Additional Work is related in nature to the services covered by this Agreement.
3.2 Non-Ground-Level Access Fee
Standard service pricing applies to ground-level access. If the Company's staff are required to collect or transport material from or to a non-ground-level location — including basements, upper floors, buildings without freight elevators, or locations requiring stair access — an additional labor fee will apply.
| Fee Type | Amount | Conditions |
|---|---|---|
| Non-ground-level labor | $75.00 / hour | 1-hour minimum. Applies when material requires stair access or non-freight elevator transport. |
| Late cancellation (one-time purge) | $75.00 | Applied when less than 24 hours notice is given for a scheduled one-time purge. |
| No-show / late notice (recurring) | Regular service charge | Applied when staff arrive for a scheduled pickup and are turned away, or when less than 24 hours notice is given to reschedule. |
| Extended service zone (100+ miles) | $100.00 | Applies to locations more than 100 miles from the Company's facility in Tewksbury, MA. |
| Lost or damaged container | $100.00 / unit | Replacement cost for each security container lost or damaged while in the Client's custody. |
§ 4 Compensation & Payment
The Client agrees to pay the Company for all Services rendered at the rates confirmed prior to service — whether by email, printed quote, phone, or the Company's published online rate schedule. All invoices are due at the time of service (pickup, drop-off, or completion of on-site service), unless a prior written payment arrangement has been established for recurring service clients.
The Company accepts all major credit cards (Visa, MasterCard, Discover, American Express), cash, and check. Returned checks are subject to a $35.00 returned check fee in addition to applicable bank charges. Amounts unpaid more than 30 days past the service date are subject to interest at the rate of 1.5% per month (18% per annum) or the maximum rate permitted by Massachusetts law, whichever is less.
A Certificate of Destruction filing fee of $14.95 and an environmental compliance fee of $19.95 are applied to every service job (combined: $34.90). These fees offset the cost of maintaining our certified facility operations, compliance documentation, and certified recycling partnerships. They are flat per-job fees, not per-pound or per-box charges.
§ 5 Term & Termination
5.1 Effective Date
This Agreement becomes effective on the earlier of: (a) the date the Company delivers security containers to the Client's location; or (b) the date any service is first provided.
5.2 One-Time Purge Services
For one-time purge engagements, this Agreement terminates automatically 30 days after the service is completed, unless otherwise extended by mutual written agreement.
5.3 Recurring Service Agreements
For recurring scheduled service accounts, this Agreement constitutes a one-year term that automatically renews for successive one-year terms on each anniversary of the effective date, unless terminated as follows:
- Termination at renewal: Either party may terminate this Agreement without cause by providing written notice at least 60 days before the upcoming renewal date. The Company will complete the final scheduled service at the agreed rate and retrieve all Containers.
- Early termination by Client: If the Client terminates the Agreement before the end of a contract year for reasons other than cause, the Client shall pay an early termination fee equal to the greater of: (a) six (6) regular service charges at the current service rate; or (b) ninety (90) days of service at the current rate.
5.4 Termination for Cause
Either party may terminate this Agreement for cause if a material breach of any obligation under this Agreement remains uncured for more than 30 days after receipt of written notice specifying the breach. Grounds for the Client to terminate for cause include:
- A substantial and unremedied breach of any material obligation by the Company; or
- The Company's inability to perform its obligations under this Agreement safely, legally, or professionally.
Upon termination for any reason, the Client shall pay all charges and fees accrued through the termination date.
§ 6 Independent Contractor Relationship
Neighborhood Parcel LLC performs all Services as an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, employment relationship, or agency between the Company and the Client. The Company retains sole and exclusive control over the means, methods, and manner in which Services are performed, subject to the outcome requirements specified in this Agreement.
The Company is solely responsible for all federal, state, and local income taxes, self-employment taxes, workers' compensation, unemployment insurance, and any other withholding or employment-related obligations arising from the Company's performance of Services.
§ 7 Compliance with Laws
The Company represents and warrants that it will, at all times during the performance of Services:
- Comply with all applicable federal, Massachusetts, and local laws, ordinances, and regulations governing document destruction, data privacy, and environmental management, including without limitation HIPAA, FACTA, SOX, and the Massachusetts Data Security Law (201 CMR 17.00);
- Maintain all required business licenses, registrations, and regulatory accounts;
- File all required federal, state, and local tax returns and pay all taxes and fees as due;
- Maintain workers' compensation coverage, disability benefits, and unemployment insurance for all employees in accordance with Massachusetts law;
- Maintain adequate books and records relating to the performance of Services.
§ 8 Insurance & Risk of Loss
The Company maintains appropriate commercial insurance coverage, including general liability, business auto liability, and workers' compensation insurance, at limits appropriate to the nature and scale of the Services. Upon written request, the Company will provide the Client with certificates of insurance evidencing such coverage.
Risk of loss or damage to Client material transfers to the Company at the moment a Company employee takes physical possession of the material — whether at the Client's location during a pickup, or at the Company's facility upon drop-off. Prior to that moment, the Client bears all risk of loss.
§ 9 Limitation of Liability
The Company's total liability to the Client for any claim, loss, or damage arising out of or related to these Terms or the Services — regardless of the legal theory on which the claim is based, and whether in contract, tort, negligence, strict liability, or otherwise — shall not exceed one hundred dollars ($100.00) per claim. This limitation applies to all claims in the aggregate, except as expressly stated below.
The Company shall not be liable for the release, loss, or misuse of any materials deposited in security containers, delivered at drop-off, or otherwise provided to the Company, unless such release or loss is directly caused by the Company's gross negligence or willful misconduct. The Company's security obligations and liability attach from the moment a Company employee takes physical possession of the Client's material.
Consequential damages excluded. In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of business, loss of profits, loss of data, regulatory fines, or reputational harm — even if the Company has been advised of the possibility of such damages.
By scheduling or receiving any service, the Client acknowledges that the $100 per-claim liability cap is a material term of this Agreement, that the Company's pricing reflects this limitation, and that the Client had the opportunity to negotiate alternative terms or seek services from a provider willing to accept greater liability exposure.
§ 10 Indemnification
The Client agrees to defend, indemnify, and hold harmless Neighborhood Parcel LLC and its officers, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from:
- The Client's delivery of prohibited, hazardous, or regulated materials in violation of Section 2.4;
- The Client's breach of any representation, warranty, or obligation under this Agreement;
- Any claim by a third party that material delivered to the Company by the Client was delivered without proper authority or in violation of any third party's rights;
- The Client's failure to provide advance notice of high-value negotiable instruments as required under Section 2.3; or
- Any act or omission of the Client that causes the Company to be in violation of any applicable law, regulation, or third-party agreement.
§ 11 Confidentiality
“Confidential Information” means any information relating to the Client's property, business, operations, clients, or affairs that is delivered to or obtained by the Company in connection with the performance of Services, and that is not generally known to the public.
The Company agrees to:
- Hold all Confidential Information in strict confidence;
- Use Confidential Information solely for the purpose of performing the Services;
- Apply the same degree of care to protect the Client's Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care;
- Not disclose Confidential Information to any third party except as expressly authorized by the Client or as required by law.
Notwithstanding the foregoing, the Company may disclose Confidential Information to the extent required by a valid court order, government subpoena, or other lawful process. The Company will, to the extent permitted by law and practicable, provide the Client with prompt written notice of any such required disclosure so the Client may seek a protective order or other appropriate remedy.
This confidentiality obligation does not apply to information that: (a) was known to the Company prior to the Client's disclosure; (b) is or becomes publicly known through no breach by the Company; (c) is independently developed by the Company without reference to the Confidential Information; or (d) is received by the Company from a third party without restriction on disclosure.
§ 12 Ownership Warranty
The Client represents and warrants that, with respect to all materials delivered to the Company for destruction:
- The Client is the lawful owner, legal custodian, or otherwise has full right, title, and authority to authorize the destruction of such materials;
- The destruction of such materials does not violate any contract, court order, regulatory requirement, litigation hold, or other legal obligation binding on the Client;
- No third party has any legally cognizable interest in the materials that would be adversely affected by their destruction; and
- The materials do not include any items the Client is prohibited from destroying under applicable law at the time of service.
The Client shall reimburse the Company for any reasonable legal fees, fines, or costs incurred by the Company as a direct result of the Client's breach of this warranty.
§ 13 Force Majeure
Neither party shall be in default or liable for any delay or failure to perform its obligations under this Agreement to the extent that such delay or failure is caused by circumstances beyond that party's reasonable control and could not have been prevented by reasonable precautions. Such circumstances include, without limitation: acts of God, natural disasters, pandemics or public health emergencies declared by a government authority, strikes or labor disputes, government orders or regulations, acts of war or terrorism, power failures, or disruptions to telecommunications or transportation infrastructure.
The affected party shall: (a) provide prompt written notice of the force majeure event and its expected duration; (b) use commercially reasonable efforts to resume performance as quickly as possible; and (c) notify the other party when the force majeure condition has ended. If a force majeure event prevents performance for more than 60 consecutive days, either party may terminate the Agreement without liability upon written notice.
§ 14 Governing Law & Dispute Resolution
This Agreement and all matters arising out of or relating to it — including its validity, construction, performance, and enforcement — shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws provisions.
Exclusive Venue: Any legal action or proceeding arising under or relating to this Agreement shall be brought exclusively in the state or federal courts located in Middlesex County, Massachusetts. Both parties irrevocably consent to the personal jurisdiction and venue of such courts.
14.1 Mandatory Mediation
Before initiating any formal legal proceeding, the disputing party must provide written notice of the dispute to the other party. The parties agree to attempt to resolve the dispute through good-faith negotiation for a period of 30 days following such notice. If negotiation fails, the parties agree to participate in non-binding mediation administered by a mutually agreed mediator in Middlesex County, Massachusetts before proceeding to litigation.
14.2 Attorneys' Fees
In any legal proceeding to enforce this Agreement, the substantially prevailing party shall be entitled to recover reasonable attorneys' fees and court costs from the non-prevailing party, to the extent permitted by Massachusetts law.
